| SUBJECT: | A RESOLUTION OF MAYOR AND CITY COMMISSION OF THE CITY OF MIAMI BEACH, FLORIDA, ACCEPTING THE WRITTEN RECOMMENDATION OF THE CITY MANAGER AND WAIVING, BY 5/7TH VOTE, THE FORMAL COMPETITIVE BIDDING REQUIREMENTS, FINDING SUCH WAIVER TO BE IN THE CITY’S BEST INTEREST, AND AUTHORIZING NEW SOFTWARE LICENSE AGREEMENT FROM AZTECA SYSTEMS, LLC., THE SOLE SOURCE PROVIDER AND LICENSOR OF THE CITYWORKS SOFTWARE, IN AN AMOUNT NOT TO EXCEED $66,000 ANNUALLY, FOR THE PERIOD OF THREE (3) YEARS.

| On January 8, 2002, the Public Works Department requested authorization from the City Commission to issue Request for Proposal No. 64-02/03 to secure a consultant that would provide a complete infrastructure management system and integrated software applications to enhance the inventory, management and maintenance of all public works assets, including, without limitation, water, sewer, stormwater, streets, streetlights, street furniture and equipment. In 2005, the City awarded a contract to Camper Dresser, McKee, Inc., (“CDM”) for the development of Computerized Maintenance System (CMMS) and pursuant to this contract, the Cityworks software system (“Cityworks Software”) licensed by Azteca Systems, Inc., (“Azteca”), was selected as the best software system for the project. On July 1, 2006, the City and Azteca entered into Cityworks Software License Agreement No. C127505. The Cityworks software is operational and has been in use by Public Works Utility Department since 2006.
On May 11, 2011, the Mayor and City Commission approved Resolution No. 2011-27654, authorizing the sole source purchase for annual maintenance of the Cityworks Software. Since 2011, the Cityworks Software system was also implemented for the Miami Beach Convention Center and is being implemented for Property Management Division. The cost of the current services provided by Azteca total approximately $45,000 annually for a limited number of users. The Administration desires to implement Cityworks Software in other departments, and upgrade the present Cityworks Software Agreement to an Enterprise License Agreement (“ELA”) that will permit the Cityworks Software to be used by an unlimited number of City employees for a total annual cost of $66,000. New software options will assist the City in the performance of various departmental operations, including mobile applications, CCTV and MicroPaver interfaces, and other local government templates. Azteca Systems, LLC, as the owner of the Cityworks Software, is the sole source provider and licensor of the Cityworks Software and related software maintenance services. |

| The City Manager recommends that the Mayor and the City Commission hereby accept the written recommendation of the City Manager (as further set forth in the City Commission memorandum accompanying this Resolution) and waive, by a 5/7th vote, the formal competitive bidding requirements, finding such waiver to be in the City’s best interest, and authorize the Cityworks Software Enterprise License Agreement with Azteca Systems, LLC, the sole provider and licensor of the Cityworks Software system, in an amount not to exceed $66,000 annually, for the period of three (3) years. |
